Joseph Steinberg, Chairman of the board of directors, currently serves as Chairman of HRG Group, Inc. and has served as a member of the HRG Group Compensation Committee since July 2014. Mr. Steinberg has been as a director of Leucadia National Corporation (“Leucadia”) since December 1978, and was Leucadia’s President from January 1979 until March 1, 2013. Mr. Steinberg has been Chairman of the Board of Leucadia since March 1, 2013. Mr. Steinberg is Chairman of the board of directors of HomeFed Corporation (“HomeFed”), a publicly held real estate development company in which Leucadia has an approximately 65% equity interest and in which Mr. Steinberg holds a 4.8% interest. Mr. Steinberg serves on the board of directors of Crimson Wine Group, Ltd., Leucadia’s former winery operations which were spun off to Leucadia shareholders in February 2013, and has been a director of Jefferies Group, Inc. (now Jefferies Group, LLC, a wholly owned subsidiary of Leucadia) since April 2008. Mr. Steinberg previously served as a director of Mueller Industries, Inc., Fortescue Metals Group Ltd, The FINOVA Group Inc. and White Mountains Insurance Group.
Omar M. Asali has served as director of FGL since 2011. He has also served as President & CEO of HRG Group, Inc. effective as of October 2011, as Acting President since June 2011, and as a director of HRG Group since May 2011. Mr. Asali is Vice Chairman of Spectrum Brands and a director of Zap.Com, each a subsidiary of HRG Group. Prior to becoming President of HRG Group, Mr. Asali was a Managing Director and Head of Global Strategy of Harbinger Capital, an affiliate of HRG Group. Prior to joining Harbinger Capital in 2009, Mr. Asali was the co-head of Goldman Sachs Hedge Fund Strategies (“Goldman Sachs HFS”), a hedge fund sponsor, where he helped manage approximately $25 billion of capital allocated to external managers. Mr. Asali also served as co-chair of the Investment Committee at Goldman Sachs HFS from 2008 to 2009. Before joining Goldman Sachs HFS in 2003, Mr. Asali worked in Goldman Sachs’ Investment Banking Division, providing M&A and strategic advisory services to clients in the High Technology Group. Mr. Asali previously worked at Capital Guidance, a boutique private equity firm. Mr. Asali began his career working for a public accounting firm. Mr. Asali received an MBA from Columbia Business School and a B.S. in Accounting from Virginia Tech. We believe that Mr. Asali’s financial and asset management experience well qualifies him to serve on our board of directors.
William Bawden has served as a director and Chairman of the Audit Committee of FGL since 2013. Mr. Bawden previously served as a member of the board of directors of Aviva USA Corporation, a life and annuity insurance company, where he also chaired the audit committee and was a member of the risk committee. He is a retired partner of PricewaterhouseCoopers LLP (“PwC”), in which role he served the insurance industry for many years. While at PwC, Mr. Bawden led the PwC Canadian insurance practice from 1995 to 2007, was chairman of the world insurance partner leadership team from 1987 to 1993, and was co-chairman of the firm’s US insurance practice from 1987 to 1992. He also has been a member of several AICPA and Canadian standards setting committees that focused on insurance accounting and reporting. Mr. Bawden has a B.S. and M.B.A. from Indiana University. We believe that Mr. Bawden’s extensive accounting and insurance qualifications and experience enable him to provide a valuable perspective as a member of our board of directors.
James Benson has over 40 years of industry experience and is a nationally-recognized expert in the fields of financial services and insurance. He currently serves as President and CEO of Benson Botsford. He is the former President and CEO of John Hancock Life Insurance Company, a division of Manulife Financial, from 2002 to 2006. Prior to joining Hancock in 2002, he was President of MetLife’s Individual Business enterprise. During his tenure at MetLife, Inc., he was Chairman, President and CEO of New England Financial as well as Chairman, President and CEO of GenAmerica Financial Corporation. Before joining MetLife, Inc. in 1997, he held the dual position of President and COO of the Equitable Companies, Inc., and was CEO of its flagship life insurance operation, Equitable Life Assurance.
Mr. Benson received his undergraduate degree from the University of Illinois and an MBA from the University of Southern California. He serves on the boards of Valmark Securities, Inc. and Sapient Corp., a Nasdaq listed global services company, where he currently serves as lead independent director. He previously served on the board of Aviva USA Corp. Mr. Benson is the founder of World TEAM Sports, an organization dedicated to providing people with disabilities opportunities through sports activities. In December 2010, Mr. Benson was elected to the United States Olympic Committee, and serves as National Paralympic Committee President.
Christopher J. Littlefield, the former President & Chief Executive Officer of Aviva USA Corporation, serves as President & Chief Executive Officer of FGL and as a Director of the Company as well.
Christopher Littlefield served as the President & Chief Executive Officer of Aviva USA Corporation from February 2009 to October 2013, having previously served as Chief Operating Officer for the Company. Prior to that, from January 2006 to February 2008, Mr. Littlefield was Executive Vice President – General Counsel & Secretary for AmerUS Group, which was acquired by Aviva plc in 2006. Before joining AmerUS, Mr. Littlefield was with the Dial Corporation in Scottsdale, Arizona, where he held management positions of increasing responsibility, beginning in 1998, including Senior Vice President – General Counsel & Secretary and Senior Vice President & General Manager – Food Products. Earlier in his career, Mr. Littlefield worked as a Corporate & Securities Attorney for Snell & Wilmer L.L.P., in Phoenix, Arizona.
Mr. Littlefield graduated cum laude with a Bachelor of Science degree in business administration from the University of Arizona. He continued his education at The University of Iowa, where he earned a juris doctor with high distinction. He currently serves as Chair-Elect of the United Way of Central Iowa Board of Directors, Human Capital Committee Co-Chair for the Greater Des Moines Partnership Capital Crossroads Initiative, member of the Board of Trustees of Grand View University, and as a member of the City of Waukee Community and Economic Development Advisory Council as well as the Waukee Schools Center for Advanced Professional Studies Advisory Board.
William P. Melchionni has served as director of FGL since 2012. Mr. Melchionni currently works as an independent consultant for a number of financial services companies. For 17 years, he served in a number of senior roles for Credit Suisse, an investment bank, in the investment advisory business. Prior to Credit Suisse, Mr. Melchionni worked for Solomon Brothers for 12 years as a director. He played professional basketball with the Philadelphia 76ers and New York Nets. He received a Bachelor of Science in Economics from Villanova University. We believe that Mr. Melchionni’s asset management experience well qualifies him to serve on our board of directors.
L. John H. Tweedie has served as director of FGL since 2011. Mr. Tweedie serves as CEO and is responsible for setting and executing the strategy of Front Street. Over a period of 35 years, Mr. Tweedie has managed businesses that provide individual life and annuities, property & casualty in both domestic and international markets. Most recently, he served as President and CEO of Northstar Re, a start-up, from 2002 to 2009. Prior to his retirement in 2001, Mr. Tweedie served as a Senior Executive Vice President for Metropolitan Life (then the majority owner of Reinsurance Group of America, Incorporated), in charge of corporate actuarial, corporate controllers and international operations. His tenure at Metropolitan Life included positions as Chief Actuary, President and CEO of Canadian Operations and Executive Officer for International Operations. In addition, Mr. Tweedie oversaw RGA operations and served on the RGA board of directors until his retirement. Mr. Tweedie rejoined the Canadian RGA board of directors in 2010. Mr. Tweedie received his Bachelor of Commerce degree from the University of Manitoba in 1966 and became a fellow of the Canadian Institute of Actuaries and the Society of Actuaries in 1971. We believe that Mr. Tweedie’s extensive actuarial, financial and executive experience well qualifies him to serve on our board of directors.
